BOARD DIRECTOR

Landcare NSW is seeking applicants for a position on Landcare NSW’s Board of Directors.

Landcare NSW is responsible for providing leadership, representing, supporting, strengthening and growing the community Landcare movement in NSW to improve the health of our natural and working landscapes. Our structures, activities and operations meet legal requirements, have probity, are transparent and accountable. Landcare NSW strives to meet best practice in everything it does.

In 2023, two Ordinary Directors will be elected by the member groups in the following electoral zones:

The North West/Northern Tablelands Electoral Zone – the boundaries of which correspond to the combined boundaries of the NSW LLS North West and Northern Tablelands regions.

The Central West/Central Tablelands Electoral Zone – the boundaries of which correspond to the combined boundaries of the NSW LLS Central West and Central Tablelands regions.

Candidates for Ordinary Director positions must normally reside within the geographic boundaries of the region they wish to represent.

Candidates for Ordinary Director positions must be a member of a local Landcare NSW member group or a District Network. These candidates will need to verify their membership by having their nomination form signed by the secretary of the local association (must be incorporated) or by the district network association or regional association (if local group is unincorporated).

If you live in the North West/Northern Tablelands or Central West/Central Tablelands Board electoral zones, you should consider standing for the Board.

ABOUT LANDCARE NSW

Landcare NSW Limited is the peak body for community Landcare in NSW.  The primary purpose of the organisation is to serve as a ‘resource advocate’ to ensure that the thousands of Landcarers in NSW have all they need to care for our land, environment, and communities.

The organisation is a company limited by guarantee and governed by an independent board composed of six Ordinary Directors, elected by Landcare NSW member groups and four independent directors appointed by the Nominations Committee for three-year terms.

REQUIREMENTS FOR DIRECTORS

There are typically six – eight board meetings each year. A combination of in-person and online meetings will be held. However, directors will be able to attend in-person meetings virtually if they are unable to travel. Directors are not remunerated; however, all out-of-pocket travel costs will be covered.

According to the Landcare NSW Constitution, applicants must meet the following criteria:

• the person supports the purpose and objects of Landcare NSW as outlined in the Landcare NSW Limited Constitution
• the person is not an Employee of any Landcare organisation or of the NSW Landcare Program;
• the person is eligible to be a Director under:
  • the Corporations Act (Cwlth 2001); or
  • the ACNC Legislation;
• the person has suitable qualifications, skills and experience to discharge the functions of a Director;
• the person has secured a Director Identification Number from the Australian Securities and Investment Commission
